Terms of Service

These terms govern your use of Pokezi (operated by Hailan Thorne). They're written in plain English because legalese is how people get burned. If anything here is unclear, email hailanthorne@gmail.com and we'll explain.

1. What we do

Pokezi designs, deploys, and operates AI voice and chat agents that answer your inbound calls and messages, capture lead details, and push them to your CRM or inbox. We are a service provider, not a software-as-a-service product — every deployment is custom.

2. What you pay

The retainer for standard engagements is $1,500/month, billed monthly in advance. Pilot clients pay $750/month for the first 90 days, after which the price returns to $1,500/month unless we agree otherwise in writing. Telephony and third-party usage (carrier minutes, SMS fees) are passed through at cost and itemized.

3. Cancellation

You can cancel at any time with 14 days' written notice. Pilot clients can cancel anytime in the first 90 days with no notice. We don't refund the current month, but we won't bill the next one. We can terminate the agreement on the same terms.

4. Who owns what

You own your data: call recordings, transcripts, lead information, business knowledge we train on. We own the agent architecture, prompts, and tooling we build. If you cancel, we export your data to you in a standard format within 14 days and delete our copies within 30 days.

5. Recordings and consent

You are responsible for ensuring your business complies with call-recording consent laws in your jurisdiction (two-party consent states in the US, GDPR/UK GDPR in Europe). Our standard greeting includes a recording disclosure. You can opt out, but doing so limits our ability to tune the agent.

6. What we don't promise

AI agents make mistakes. We do not guarantee perfect accuracy, 100% uptime, or specific booking conversion rates. We do guarantee the service levels in our SLA.

7. Liability

Our total liability for any claim is capped at the fees you paid us in the 3 months before the claim. We are not liable for indirect or consequential damages (lost profits, lost business). This cap doesn't apply to gross negligence or willful misconduct.

8. Confidentiality

We treat your business data as confidential and only use it to operate and improve your agent. Pilot clients agree we may use anonymized call snippets and aggregate metrics in marketing — we'll show you anything specific before publishing it.

9. Changes

We may update these terms; if we make material changes we'll email you 30 days before they take effect. Continued use after the effective date means you accept the changes.

10. Governing law

These terms are governed by the laws of Uganda, where Hailan Thorne is based. Disputes are resolved first by good-faith negotiation, then by binding arbitration in Kampala.
